BakeFleet Affiliate Program Agreement
The terms you accept when you apply to the BakeFleet Affiliate Program. Last updated September 2026.
This Affiliate Program Agreement (the "Agreement") is between BakeFleet LLC, a Utah limited liability company doing business as BakeFleet ("BakeFleet," "we," "us"), and the person or business that applies to and is accepted into the BakeFleet Affiliate Program ("you" or "Affiliate").
You accept this Agreement by checking the acceptance box when you apply. Taking part in the program after we accept you, including sharing a Referral Link or Affiliate Code, also confirms your agreement. If you are accepting on behalf of a business, you confirm you have authority to bind it, and "you" includes that business.
Please read Section 13 carefully. It requires most disputes to be resolved by individual binding arbitration, waives class actions and jury trials, and sets a one-year deadline to bring claims.
1. Definitions
- Service — the BakeFleet software platform at bakefleet.com, including tenant storefronts on bakefleet.com subdomains and custom domains.
- Affiliate Portal — the dashboard where you get your links and codes and see clicks, referrals, commissions and payouts.
- Referral Link — the unique tracking URL we assign to you.
- Affiliate Code — a discount or promo code we issue to you that is tied to your account.
- Referred Customer — a bakery or baker who creates a new BakeFleet account through your Referral Link or Affiliate Code, and is attributed to you under Section 3.
- Qualifying Payment — subscription fees a Referred Customer actually pays us for a paid BakeFleet plan, after discounts and excluding taxes, payment processing fees, platform or transaction fees on the Referred Customer's own sales, refunds, credits and chargebacks.
- Commission Period — the 12 months after a Referred Customer's first Qualifying Payment.
- Commission — the amount we owe you on Qualifying Payments under Section 4.
- Related Party — you; your immediate family members and people who live in your household; and any business that you or any of them own, control, manage or work for. We decide in our reasonable discretion whether an account belongs to a Related Party.
- Prohibited Activity — any conduct that breaks Section 6 or Section 9, or any law.
2. Enrollment and eligibility
We review every application and may accept or decline it for any reason. You are not an Affiliate until we confirm acceptance by email or in the Affiliate Portal.
To join, you must be at least 18 and the age of majority where you live, give accurate contact, tax and payout information, and keep it current. You must have a lawful way to receive payments in your country. You must live in the United States or Canada or, if you are a business, be organized there.
We may verify your identity, tax and payout information. We may decline or suspend your account if we cannot.
You may hold only one affiliate account. Current BakeFleet customers may join, but you cannot earn Commission on accounts that belong to you or any other Related Party.
3. Referral links, codes and attribution
Referral Links. When someone clicks your Referral Link, we set a tracking cookie that lasts 60 days. If they create a BakeFleet account in that window, they become your Referred Customer. We may change the cookie duration for future clicks by notice in the Affiliate Portal.
Affiliate Codes. We may issue you one or more Affiliate Codes. A new account that applies your code at signup or checkout is attributed to you, even without a click. Discount amounts, limits and expiry are set by us and shown in the Affiliate Portal. You may not create, alter or advertise a discount we have not issued.
Who gets credit. If more than one affiliate could claim a customer, an Affiliate Code used at signup wins. Otherwise the last Referral Link clicked before signup wins. A customer is attributed to one affiliate only.
What does not count. No Commission is owed for existing or former BakeFleet customers, accounts created before the click or code, Related Party accounts, accounts we reasonably believe are duplicates, accounts obtained through Prohibited Activity, or referrals where tracking failed because cookies were blocked or cleared. We are not responsible for tracking failures, but we will review a reasonable, documented claim you send within 30 days of the signup.
Our records control. Attribution and Commission are determined by our tracking system and records, which are final absent a clear error.
4. Commissions
You earn 20% of each Qualifying Payment from a Referred Customer that we receive during that customer's Commission Period. After the Commission Period ends, no further Commission is owed on that customer.
If a Qualifying Payment pays for service that runs past the end of the Commission Period (for example, an annual plan bought late in the period), Commission is earned only on the portion of that payment for service within the Commission Period, prorated by day.
- Commission is earned only on payments we actually receive. Free trials, unpaid invoices and free or comped plans earn nothing.
- If a Referred Customer upgrades or downgrades, Commission follows the amount they actually pay.
- If a Referred Customer cancels and later returns, the original Commission Period is not restarted.
- No Commission is earned on payments connected to Prohibited Activity or Related Party accounts.
- Commission stops early if this Agreement ends, subject to Section 11.
We may offer bonuses, tiers or special rates in the Affiliate Portal or in writing. Those offers apply only on their stated terms.
5. Payouts, holds, refunds and clawbacks
Holding period. Each Commission is held for 60 days after the related Qualifying Payment, to allow for refunds and chargebacks. After that it becomes payable.
Payment schedule. We pay payable Commissions monthly, by the 15th of the month, for balances of at least $50. Smaller balances roll over. We pay in U.S. dollars by PayPal or bank transfer, or by another method we agree with you in writing, using the details in your Affiliate Portal. You pay any fees your payout provider or bank charges you.
Refunds and chargebacks. If a Qualifying Payment is refunded, credited or charged back, the related Commission is reversed. If it was already paid, we deduct it from future Commissions or, if none are coming, you will repay it within 30 days of our request.
Fraud, violations and errors. Any Commission, paid or unpaid, that resulted from Prohibited Activity, a Related Party account or an attribution error is not earned. We may reverse it at any time, including after it is paid and after this Agreement ends. You will repay any reversed amount already paid within 30 days of our request.
Suspension during review. If we reasonably suspect Prohibited Activity or fraud, we may suspend your payouts, links and codes while we investigate. We will try to finish our review within 60 days. Amounts we find were properly earned will be paid in the next payout after the review ends.
Set-off. We may deduct any amount you owe us under this Agreement from any amount we owe you. This includes reversed Commissions, overpayments and amounts owed under Section 12.
Payment errors. If we underpay, we will fix it in the next payout. If we overpay, we may deduct the excess from future payouts.
Statement disputes. You must tell us in writing about any dispute over a payout, statement or Commission calculation within 60 days after the payout or statement date. After that, the payout or statement is final and the dispute is waived.
Termination for breach. If we end this Agreement because you broke it, we may withhold your unpaid balance and apply it to Commissions that were not earned, amounts you owe us, and damages your breach caused. We will pay any remaining properly earned balance once our review is complete.
Missing tax or payout information. If you do not give us valid tax and payout information within 180 days of our request, we will hold your balance and handle it as applicable unclaimed-property law requires. We owe no interest on held amounts.
6. Promotion rules
Disclose the relationship. Every post, video, email or page that includes your link or code must clearly say you earn a commission from BakeFleet, as the FTC Endorsement Guides require. Put it near the link, in plain words, not only in a bio or footer. Only share honest opinions from your own use or knowledge.
You may not:
- Send spam or unsolicited email, texts or DMs, or violate CAN-SPAM, the TCPA or anti-spam laws.
- Bid on "BakeFleet" or confusingly similar terms or misspellings in paid search or social ads, or use them in domain names, social handles, or app-store names. If we ask, you must add them as negative keywords in your paid campaigns.
- Pose as BakeFleet or suggest you are our employee, partner or support team.
- Post your link or code on coupon, deal, cashback, rebate or incentivized-traffic sites without our written OK.
- Use cookie stuffing, forced clicks, hidden iframes, pop-unders, bots or any method that sets cookies without a real click.
- Refer yourself or any Related Party, or pay or rebate customers to sign up.
- Encourage existing BakeFleet customers to cancel and sign up again, or otherwise manipulate attribution.
- Write, post, buy or ask for fake reviews or testimonials, including AI-generated reviews or reviews from people who have not used BakeFleet, or post a review of BakeFleet without disclosing your affiliate relationship.
- Recruit sub-affiliates; share, sell or transfer your links or codes; or use agents, contractors or ad networks to promote BakeFleet without our written approval. You are responsible for anyone acting for you.
- Make false or unapproved claims about BakeFleet's features, pricing, results or earnings.
- Promise or suggest that BakeFleet makes a bakery legally compliant — for example, that it satisfies cottage-food laws, labeling rules, permits, food-safety or tax requirements. Those remain each bakery's responsibility.
- Promote BakeFleet next to illegal, hateful, sexually explicit or violent content.
Our review. We may ask you to change or remove any promotion. You must do so within 3 business days.
Traffic audits. Within 5 business days of our request, you must tell us where your BakeFleet traffic comes from and give us reasonable information about your promotions, ad accounts and methods, such as screenshots, reports or campaign details. Failing to cooperate is a breach of this Agreement.
Commissions from traffic that breaks these rules are not earned and may be reversed under Section 5.
7. Trademarks and marketing materials
While this Agreement is in effect, we give you a limited, revocable, non-exclusive, non-transferable license to use the BakeFleet name, logo and the materials we provide in the Affiliate Portal, only to promote BakeFleet under this Agreement. The license ends automatically when this Agreement ends.
Use our brand assets as provided. Do not alter them, combine them with other marks, or use them in a way that suggests we endorse you or your products. All goodwill from your use belongs to us. You get no other rights in our software, content or marks.
You own your own content. You let us quote, link to or share your public BakeFleet promotions, with credit to you, for marketing the program.
If you give us suggestions or feedback about BakeFleet or the program, we may use them freely, without payment or credit to you.
8. Independent contractor and taxes
You are an independent contractor. Nothing in this Agreement makes you our employee, agent, partner or joint venturer. You cannot sign contracts, make promises or accept payments on our behalf. You pay your own costs of promoting BakeFleet.
You are responsible for all taxes on your Commissions. Before your first payout, U.S. affiliates must give us a Form W-9, and non-U.S. affiliates a Form W-8BEN or W-8BEN-E. We may withhold payouts until we receive it, withhold tax where the law requires, and issue a Form 1099 or other tax reporting. If you do not give us a valid taxpayer identification number, we may withhold tax from your payouts at the IRS backup-withholding rate. Tax reporting on your payouts may come from us or from the payout provider.
9. Your representations
You represent and promise that:
- The information you give us is accurate, and you will keep it current.
- You will follow all laws that apply to your promotions, including the FTC Act and Endorsement Guides, the FTC's rule on consumer reviews and testimonials, CAN-SPAM, the TCPA, and privacy and consumer-protection laws.
- You own or have the rights to all content you use to promote BakeFleet, and it does not infringe anyone's rights.
- Neither you nor anyone who owns or controls you is on a U.S. government sanctions or restricted-party list (including the OFAC Specially Designated Nationals List), or is located in, organized in or ordinarily resident in a country or region subject to comprehensive U.S. sanctions.
- Entering into and performing this Agreement does not break any other agreement you are bound by.
We may refuse, delay or cancel any payout if we reasonably believe making it would violate sanctions or other law.
10. Confidentiality and data
Non-public information we share with you — unreleased features, pricing plans, commission terms offered only to you, and referral or customer data in the Affiliate Portal — is confidential. Use it only to take part in the program and do not share it.
This duty lasts while this Agreement is in effect and for 3 years after it ends, and for trade secrets as long as they remain trade secrets. It does not cover information that is public through no fault of yours, that you already knew, that you developed independently, or that the law requires you to disclose (if you tell us first, where the law allows). When this Agreement ends, or when we ask, you will return or destroy our confidential information.
Misuse of our confidential information or brand assets would cause us irreparable harm. We may seek an injunction or other court order to stop it, without posting a bond, in addition to any other remedy.
We do not give you Referred Customers' personal information, and you may not try to obtain it. Any data you collect from people you promote to must be collected and used lawfully, with the notices and consents the law requires.
We handle your personal information as described in our Privacy Policy.
11. Term, suspension and termination
This Agreement starts when we accept you and continues until either of us ends it. You may quit any time by closing your affiliate account or emailing us. We may end it for any reason with 15 days' notice, or immediately if you break this Agreement, engage in Prohibited Activity, act fraudulently, or harm BakeFleet's reputation. We may also end or change the whole program.
Instead of ending this Agreement, we may suspend your account, links, codes or payouts while we investigate a suspected breach.
After termination:
- Stop using your links, codes and our brand assets, and remove promotions you control within 10 days. We may disable your links and codes.
- If we ended this Agreement without cause, or you quit, we pay Commissions on Qualifying Payments received up to the termination date, after the normal holding period. The final payout is made even if it is below the payout minimum.
- If we ended this Agreement because you broke it, Section 5 applies to your unpaid balance.
- No Commission is earned on payments received after termination.
- These survive termination: Section 3 (our records control), Section 5 (amounts owed, reversals, repayment and set-off), Section 6 (for conduct before termination), Section 7 (end of license, goodwill and feedback), Sections 8, 9 and 10, the post-termination terms of this Section 11, and Sections 12, 13 and 14.
12. Disclaimers, liability and indemnity
No guarantees. We do not promise any level of earnings, conversions or sales. The program, the Affiliate Portal and tracking are provided "as is" and "as available," without warranties of any kind, express or implied, to the fullest extent the law allows. We do not promise uninterrupted service or error-free tracking. We are not responsible for your promotions or statements.
TO THE FULLEST EXTENT THE LAW ALLOWS, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR LOST PROFITS, ARISING FROM THIS AGREEMENT. THIS PARAGRAPH DOES NOT APPLY TO YOUR BREACH OF SECTION 6, 7, 9 OR 10, YOUR INDEMNITY OBLIGATIONS, OR YOUR FRAUD OR WILLFUL MISCONDUCT.
OUR TOTAL LIABILITY UNDER THIS AGREEMENT IS LIMITED TO THE GREATER OF (A) THE COMMISSIONS PAID OR PAYABLE TO YOU IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) $100.
Indemnity. You will defend, indemnify and hold harmless BakeFleet, BakeFleet LLC, and their owners, employees and agents from claims, losses, fines, penalties and costs (including reasonable attorneys' fees) arising from your promotions, the conduct of anyone acting for you, your breach of this Agreement or your representations, your violation of law, or claims that your content infringes someone's rights.
We will tell you promptly about any such claim; a delay relieves you only to the extent it materially harms your defense. At our option, we may control the defense with counsel of our choice at your expense, or take part in a defense you conduct with our own counsel. You may not settle any claim that involves us or places any obligation on us without our written consent. We may recover amounts you owe under this paragraph by set-off under Section 5.
13. Dispute resolution
13.1 Informal resolution first
Before starting a claim, contact us at support@bakefleet.com, describe the dispute and what you want, and give us 30 days to resolve it. We will do the same before starting a claim against you, using the email in your Affiliate Portal. Deadlines to bring claims are paused during this 30-day period.
13.2 Binding arbitration
Except as Section 13.6 provides, any dispute, claim or controversy arising out of or relating to this Agreement or the program, including its formation, scope, validity or enforceability, will be decided by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules and, where Section 13.5 applies, its Mass Arbitration Supplementary Rules. Hearings will be held by video or in Cache County, Utah. Judgment on the award may be entered in any court with jurisdiction.
13.3 Who decides
The arbitrator has exclusive authority to decide all questions about whether a dispute must be arbitrated, including the scope, validity and enforceability of this Section 13. The one exception: a court, not the arbitrator, decides any dispute about the enforceability of Section 13.4.
13.4 No class actions; no jury
CLAIMS MAY BE BROUGHT ONLY INDIVIDUALLY, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE OR REPRESENTATIVE PROCEEDING. NO ARBITRATION MAY BE CONSOLIDATED WITH ANOTHER WITHOUT BOTH PARTIES' WRITTEN CONSENT, EXCEPT AS SECTION 13.5 PROVIDES. EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL. If this class waiver is found unenforceable as to any claim, that claim alone must proceed in court under Section 13.6, stayed until any individual arbitration is complete. It may never proceed as a class arbitration.
13.5 Mass filings
If 25 or more demands for arbitration raising substantially similar claims are filed against BakeFleet within any 180-day period by or with help from the same or coordinated lawyers or organizations (a "Mass Filing"):
- (a) Claimants' counsel and BakeFleet will each choose 10 demands to proceed first as bellwether cases, each before a different arbitrator unless the parties agree otherwise. The other demands are held, and no filing or administrative fees are due on a held demand until it proceeds.
- (b) After the bellwether awards, the parties will mediate the remaining demands in good faith for at least 60 days. BakeFleet will pay the mediator's fees.
- (c) Any demands not resolved in mediation will proceed in batches of up to 100, one batch at a time, unless the parties agree otherwise.
- (d) Deadlines to bring the held claims are paused from the date each demand was filed until it proceeds.
- (e) A court may enforce this Section 13.5, including by ordering that fees not be assessed contrary to it.
13.6 Exceptions and courts
Either party may bring an individual claim in small claims court instead of arbitration. Either party may go to court to stop misuse of intellectual property or confidential information. Where arbitration does not apply, the state and federal courts in Cache County, Utah have exclusive jurisdiction, and each party consents to them.
13.7 Deadline to bring claims
To the extent the law allows, any claim arising out of or relating to this Agreement must be filed within one year after it arose, or it is permanently barred. For a claim based on fraud or concealment, the year starts when the claiming party discovered it. This deadline is in addition to the 60-day statement-dispute deadline in Section 5.
13.8 Governing law
Utah law governs this Agreement, without regard to its conflict-of-laws rules. The Federal Arbitration Act governs this Section 13.
14. Changes and general terms
Changes. We may update this Agreement, including commission rates and program rules, by posting the new version in the Affiliate Portal and emailing you at least 15 days before it takes effect. Changes do not reduce Commissions already earned. If you keep participating after the effective date, you accept the change; if you do not agree, end this Agreement before then. Changes to Section 13 do not apply to any dispute that arose, or that either party gave the other written notice of, before the change took effect. Those disputes remain governed by the version in effect when they arose.
Entire agreement. This Agreement, together with the BakeFleet Terms of Service and Privacy Policy, is the entire agreement about the program. If it conflicts with the Terms of Service on an affiliate matter, this Agreement controls.
Assignment. You may not assign or transfer this Agreement or your rights under it without our written consent. We may assign it without your consent, including to an affiliate or a successor to our business.
Other terms. Except as Section 13.4 provides, if any part of this Agreement is unenforceable, it will be enforced to the maximum extent allowed and the rest stays in effect. Our failure to enforce a term is not a waiver. Neither party is liable for delays caused by events outside its reasonable control, but this does not excuse any payment or repayment obligation. Headings are for convenience only, and "including" means "including without limitation."
Electronic communications. You agree to receive this Agreement, notices and other communications electronically. Electronic communications satisfy any legal requirement that they be in writing.
Notices. We give notice by email to the address in your Affiliate Portal. You give notice to us at support@bakefleet.com and BakeFleet LLC, 7533 S Center View Ct Ste N, West Jordan, UT 84084.
