BakeFleet

Legal

Terms of Service

These terms cover your use of BakeFleet as a bakery. Your customers' relationship is with you, not with us.

1. About these terms

These terms are a contract between BakeFleet LLC, a Utah limited liability company doing business as BakeFleet ("BakeFleet", "we", "us"), and the business or person that creates an account ("you", "the bakery"). You accept them when you tick the box or click the button at signup, and by using the service. If you sign up on behalf of a company, you confirm you have authority to bind it.

The service is a business tool. You confirm you are using it for commercial purposes and not as a consumer. You must be at least 18, able to form a binding contract, and operating in the United States. You must not use the service where doing so would break the law where you are.

The Data Processing Agreement and the pricing page form part of these terms. If they conflict, the Data Processing Agreement wins on the handling of personal data and these terms win on everything else. Our privacy policy explains how we handle your information. It is not part of this contract.

You agree that we may send you these terms, notices and other communications electronically, and that electronic communications satisfy any legal requirement that they be in writing.

2. Who does what

We provide software. Each bakery using it is an independent business and the sole seller of what it sells. You are solely responsible for the food you make, its ingredients and safety, allergen information, how you describe, label, store, handle and deliver it, and every legal obligation attached to selling it. That includes licences, registrations, permits, food-handler training, sales limits, and any home-kitchen or cottage-food disclosure your jurisdiction requires.

We are not a party to the sale between you and your customer. We are not a seller, reseller, marketplace, food business, agent, employer, partner or joint venturer of any bakery. We do not inspect kitchens, verify licences, test recipes, check labels, or take responsibility for goods sold through a storefront. Your customers' questions, complaints, refunds and claims are yours to handle. You release us from any claim arising out of a dispute between you and your customer.

We may display a notice on your storefront, checkout and order messages that identifies you as the seller and us as the software provider. You may not remove, hide or contradict it. You may not say or imply that BakeFleet has inspected, approved, certified or endorsed your bakery or its products.

You are responsible for carrying insurance suited to your business. We strongly recommend product liability cover.

3. Compliance tools are not legal advice

Some features help with compliance, such as label templates, checkout disclosures, order limits and state-by-state guides. They are general information and convenience tools. They are not legal advice, and we are not your lawyer or regulatory consultant.

Food laws differ by state, county and city, and they change. We do not promise that any tool, template or guide is complete, current, or right for your products or location. You must check every label, disclosure and setting against the law that applies to you before relying on it, and ask your regulator or a lawyer if you are unsure.

The same applies to guides, articles and free tools on our website, and to anything the service suggests or generates automatically, such as product descriptions, labels or messages. Review it before you use or publish it. You use all of these at your own risk and do not rely on us for legal, tax or food-safety advice.

A label or disclosure generated with BakeFleet is not a certification by us of anything.

4. Your account

You need an account to use the service, and you are responsible for everything that happens under it. That includes anything done by staff, drivers or anyone else you invite. We may treat anything done through your account as authorised by you. Give us accurate account and business information and keep it current.

Keep your credentials to yourself, and tell us promptly at support@bakefleet.com if you think someone else has them.

5. Money

Customer payments

Customer payments are made directly to you through your own Stripe account. You are the seller and the merchant of record. We are not a party to that transaction, do not receive or hold those funds, and do not issue refunds on your behalf. Refunds, chargebacks, payment disputes, Stripe's fees and any negative balance on your Stripe account are yours to deal with.

Stripe

Payment processing is provided by Stripe under the Stripe Connected Account Agreement and the Stripe Terms of Service. By connecting a Stripe account you agree to both, as Stripe updates them. You authorise us to share your business and transaction information with Stripe as needed to provide payments. We are not responsible for Stripe's decisions, including holds, reserves and account closures. If Stripe charges us for a refund, chargeback, fee, fine or negative balance connected with your account, you will reimburse us on demand, and you authorise us to collect it from your payment method on file.

Platform fee

We reserve the right to charge a per-order platform fee on a plan. Every plan states whether it carries one on the pricing page, and introducing or increasing one is a price change, so it gets the same 30 days' notice and takes effect at your next renewal rather than mid-period.

Where a plan does include a per-order fee, it is deducted at the time of the payment, and it is not returned if you later refund the order or lose a chargeback.

Subscription fees

Subscription fees for this platform are billed separately to the payment method you give us, in advance, on the interval you choose. Your plan renews automatically at the end of each period, at the price then in effect, until you cancel. You authorise us to charge each renewal and to retry a failed payment. Fees are stated exclusive of taxes, and we add sales tax where the law requires us to collect it. If you think a charge is wrong, tell us within 60 days, and contact us before disputing it with your bank. We may suspend an account that charges back a valid fee.

Non-payment

Failure to pay may result in the storefront being suspended after a grace period of 14 days. Suspension does not delete data.

Cancelling

You may cancel at any time from your billing settings, and your storefront keeps running to the end of the period you have paid for. We do not refund part-used periods, because the service was available to you throughout. The exceptions are in section 12 and wherever the law requires a refund.

Price changes

We may change our prices and fees. We will tell you by email and in the dashboard at least 30 days ahead, and the change takes effect at your next renewal, never mid-period.

Taxes on your sales

You decide what tax applies to your sales, and you collect, report and pay it. Tax settings in the service are tools you configure, not tax advice. We are not a marketplace facilitator and do not collect or remit tax for you.

Gift cards and credits

Gift cards, store credit, discounts, deposits and tips you offer are your obligations to your customers, including after your account ends. You are responsible for the expiry, fee and unclaimed-property rules that apply to them.

Subscriptions you sell

If you sell recurring orders to your customers, you are the merchant. You are responsible for complying with automatic-renewal and consumer-protection laws, including how the terms are disclosed, consent, reminders and cancellation.

6. Messaging your customers

The service can send emails and text messages to your customers, such as order confirmations, payment reminders, delivery updates and marketing. You are the sender of those messages. We provide the tool.

You are responsible for having whatever consent the law requires before a message goes out. That includes prior express written consent for marketing texts under the Telephone Consumer Protection Act, the CAN-SPAM Act's rules for email, state laws, quiet hours and carrier registration rules. You must honour opt-outs promptly, and you are responsible for what your messages say.

Do not upload or import contacts who have not agreed to hear from your bakery. We do not guarantee that any message will be delivered, and carriers may filter or block messages. Messaging is subject to the usage allowances and charges shown on the pricing page. We may throttle, block or remove messages, or switch off messaging on your account, if we or a carrier reasonably believe these rules are being broken.

Messages from us to you

You agree that we may contact you by email and text at the details on your account about your account, orders, payments and the service. Message and data rates may apply. You can reply STOP to end texts, though you may then miss time-sensitive alerts.

7. Delivery tools

Route planning, driver screens and delivery estimates are planning aids. Routes, addresses and times may be wrong, and you should check them. You decide whether a route, a vehicle and the conditions are safe.

You and your drivers are responsible for driving safely and lawfully, and for not using a driver screen while the vehicle is moving. Drivers are your staff or contractors, never ours. Their licences, vehicle insurance, pay and conduct are your responsibility, and so is keeping food safe in transit.

8. Data and content

Yours stays yours

A bakery's customers, orders and content belong to the bakery. You give us a non-exclusive, worldwide, royalty-free licence to host, copy, display, transmit and process them as needed to provide, secure and support the service, and as the Data Processing Agreement allows. You confirm you have the rights to everything you upload, including photos, logos and text, and the right to give us your customers' information.

Aggregated data

We may compile aggregated, de-identified statistics about how the service is used. They never identify you or your customers, and we own them.

Export and deletion

You can export your customers and orders at any time while your account is open and during the retention period. When an account is cancelled or terminated, data is retained for 90 days and then deleted from our live systems. Backups are overwritten within a further 35 days. Deletion may be requested sooner. We may keep what the law requires us to keep, such as billing records, and anything needed to resolve a dispute. Once data has been deleted we cannot recover it, so export what you need first.

Removing content

We may remove or disable any content that we reasonably believe breaks these terms or the law, or that exposes us or others to harm.

Personal data

How we handle your customers' personal data, as your processor, is set out in the Data Processing Agreement. How we handle yours is in the privacy policy. You are responsible for giving your own customers whatever privacy notice the law requires.

Security

We use reasonable measures to protect the service, but no system is perfectly secure. Keep your own copy of any records your business cannot afford to lose.

9. Our software, your brand

We own the service, including its software, designs, documentation, and the BakeFleet name and marks. While your subscription is active and paid, we give you a limited, non-exclusive, non-transferable, revocable right to use the service for your own bakery. Nothing in these terms transfers ownership of any of it.

Your storefront runs under your brand, and your brand stays yours. You permit us to display it as needed to run your storefront.

If you send us ideas or feedback, we may use them freely with no obligation to you.

If you believe content on a storefront infringes your copyright, write to our designated agent at support@bakefleet.com, 7533 S Center View Ct Ste N, West Jordan, UT 84084. We may remove content that is reported to us and close the accounts of repeat infringers.

10. Acceptable use

Accounts may not be used to impersonate another business, to sell goods the operator is not lawfully permitted to sell (including alcohol, cannabis or hemp-derived products, and anything needing a licence the operator does not hold), to sell anything Stripe prohibits, to publish false or misleading descriptions, or to send unsolicited messages to people who did not order from or sign up with that bakery.

You also may not attempt to access another bakery's data, probe or interfere with the service's security, upload malicious code, scrape the service, reverse engineer it, use it to build a competing product, or resell the platform as your own.

11. Third-party services

The service relies on other providers, including Stripe, hosting, email and text-message carriers, and mapping. Their terms apply to your use of their services. We are not responsible for their outages, errors or decisions.

If you connect your own integrations or add your own tracking tags, pixels or scripts to your storefront, they are your responsibility, including any notice or consent your customers are owed.

12. Suspension and termination

We may suspend an account for non-payment after the grace period. We may suspend immediately where an account is being used in a way that breaks these terms, where the law, Stripe or a carrier requires it, or where it puts other bakeries, their customers or the service at risk or exposes us to legal liability. Where circumstances allow, we will tell you first and give you a chance to put it right.

We may close an account for serious or repeated breach of these terms, without refund.

We may also end your subscription, or retire the service, for any reason on 30 days' notice. If we do, we will refund any fees you prepaid for the period after the end date.

You may close your account at any time from your billing settings.

When an account ends, your right to use the service stops, anything you owe us stays due, and section 8 governs your data. We are not liable for sales or customers lost because of a suspension or closure made in line with these terms.

13. Availability and warranties

We work to keep the service running and to warn you ahead of planned maintenance, but we do not promise it will be uninterrupted or error-free. Features marked beta or preview may change or be withdrawn at any time.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT AND ACCURACY.

You use the service at your own risk. Nothing our staff say or write, including in support conversations, creates a warranty that is not in these terms.

We do not warrant that compliance tools, tax settings, routes or delivery estimates are accurate, that messages will be delivered, or that the service will produce any level of sales.

14. Liability

TO THE FULLEST EXTENT THE LAW ALLOWS, WE ARE NOT LIABLE FOR LOST PROFITS, LOST SALES, LOST DATA, LOSS OF GOODWILL, OR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE LOSS, EVEN IF WE WERE TOLD IT WAS POSSIBLE.

OUR TOTAL LIABILITY FOR ALL CLAIMS CONNECTED WITH THE SERVICE, THESE TERMS OR THE DATA PROCESSING AGREEMENT, TAKEN TOGETHER, IS LIMITED TO THE GREATER OF (A) WHAT YOU PAID US IN THE TWELVE MONTHS BEFORE THE FIRST CLAIM AROSE AND (B) $100. MORE THAN ONE CLAIM DOES NOT INCREASE THIS LIMIT.

These limits apply to every kind of claim, whether in contract, tort (including negligence), strict liability or anything else. They are part of the bargain: our prices would be higher without them. They do not limit what you owe us under section 5 or section 15.

Nothing here limits any liability that cannot lawfully be limited. Where a law does not allow one of these limits, that limit applies to the greatest extent the law does allow.

15. Indemnity

You will defend, indemnify and hold harmless BakeFleet and its owners, officers, employees and contractors against any third-party claim, regulatory action, fine, loss and cost, including reasonable attorneys' fees, arising from:

  • food or other goods you sell or give away, including illness, injury, allergic reaction, death, property damage and mislabelling;
  • your failure to comply with any law, including cottage-food, licensing, labelling, tax, consumer-protection, automatic-renewal and privacy laws;
  • messages sent through your account;
  • deliveries, and the acts of your staff, drivers and contractors, including any claim by them about pay, injury or employment status;
  • gift cards, credits, deposits and subscriptions you sell;
  • tracking tags, scripts and integrations you add to your storefront;
  • personal data you collected or gave us without the right to do so;
  • your content, including any claim that it infringes someone's rights;
  • disputes between you and your customers, including refunds and chargebacks;
  • your breach of these terms.

We will tell you promptly about any claim. We may take over the defence with counsel we choose, and you will cooperate. You may not settle a claim in a way that admits fault by us or puts obligations on us without our written consent.

16. Disputes

Talk to us first

Before starting any formal claim, email support@bakefleet.com with what went wrong and what you want. We will both try in good faith to settle it within 30 days.

Governing law

Utah law governs these terms, without regard to its conflict-of-laws rules. The Federal Arbitration Act governs this section.

Arbitration

Any dispute we cannot settle will be decided by binding individual arbitration run by the American Arbitration Association under its Commercial Arbitration Rules, by video or in Cache County, Utah. Each of us pays its own legal fees, and arbitration costs are shared as the rules provide. Either of us may use small claims court instead. Either of us may go to court for an order stopping misuse of intellectual property or unauthorised access to the service.

NO CLASS ACTIONS, NO JURY. YOU AND WE EACH GIVE UP THE RIGHT TO A JURY TRIAL AND THE RIGHT TO BRING OR JOIN A CLASS, COLLECTIVE OR REPRESENTATIVE ACTION. CLAIMS MAY BE BROUGHT ONLY INDIVIDUALLY.

Who decides what

The arbitrator decides whether a dispute falls within this section. A court, not the arbitrator, decides whether the class-action waiver is enforceable. If the waiver cannot be enforced for a claim, that claim goes to court under the Courts paragraph below and not to arbitration, and everything else stays in arbitration.

Opting out

You may opt out of arbitration by emailing support@bakefleet.com within 30 days of first accepting these terms.

Courts

Where arbitration does not apply, the state and federal courts located in Cache County, Utah have exclusive jurisdiction, and you and we consent to them.

Time limit

To the extent the law allows, any claim must be started within one year after it arose, or it is barred.

17. Changes

We may update these terms. For material changes we will email the account owner and post a notice in the bakery dashboard at least 30 days before they take effect. If you do not agree, cancel before that date. Continuing to use the service after it means you accept the new terms.

Changes to section 16 do not apply to a dispute either of us has already given notice of. Small clarifications that do not reduce your rights take effect when posted.

18. General

Whole agreement. These terms, the Data Processing Agreement and the pricing page are the entire agreement between us about the service. They replace anything said or written earlier. You have not relied on any statement, on our website or elsewhere, that is not in them.

Assignment. You may not transfer your account or these terms without our written consent. We may transfer them to an affiliate, or to a successor in a merger, acquisition or sale of our business or assets, and will tell you if we do.

Relationship. You and we are independent businesses. No one else has rights under these terms, including your customers.

Events outside our control. We are not liable for delay or failure caused by events beyond our reasonable control, including outages at hosting providers, Stripe, carriers or the internet.

Notices. We give notice by email to the address on your account or in the dashboard. You give notice to us at support@bakefleet.com and at 7533 S Center View Ct Ste N, West Jordan, UT 84084.

Severability and waiver. If part of these terms is unenforceable, the rest stays in force and that part is enforced as far as the law allows. If we do not enforce something once, we can still enforce it later.

Survival. Sections 5 (for amounts owed), 8, 9 and 13 to 18 continue after your account ends.

Sanctions. You confirm you are not on any US government restricted-party list and will not use the service in a country under US embargo.

Reading these terms. These terms are written in English, and the English version controls. Headings are for convenience. "Including" means "including without limitation".
